Holcim Chairman Jan Jenisch is the designated chief executive officer of a proposed Holcim North America spin-off business, scheduled for launch by mid-2025 with shares traded on the New York Stock Exchange.
The entity will span namesake U.S. and Lafarge Canada cement, aggregate and concrete operations, plus the recently assembled Holcim Building Envelope roofing products business. Jenisch is leading the planned Wall Street listing efforts and will serve as Holcim chairman through the producer’s annual general meeting in May, when the spin-off is set for formal shareholder approval.
Along with his appointment, Holcim directors have designated nine independent counterparts for the new entity’s board. While absent day-to-day cement, aggregate or concrete business tenure, Holcim officials present Holcim North America director candidates as “highly experienced executives with deep expertise across key sectors including construction, manufacturing, industrial operations and financial services. They have led companies as chief executive officers, presidents, partners, chief financial officers, chief legal officers and chief people officers, and significant expertise in the North American market.”
“Together, we will deliver strong governance and support the company’s priorities of market leadership and superior value creation for shareholders, customers, employees and all stakeholders,” added Jenisch, who is on track to be joined on the Holcim North America board by these director candidates:
- Theresa Drew, 40-year Deloitte & Touche LLP veteran; present Sonoco Products Co. and Cato Corp. director;
- Nicholas Gangestad, former CFO of Rockwell Automation and 3M Company; current Nucor Corp. and Genepact Ltd. director;
- Dwight Gibson, former CEO of building and industrial products wholesale distributor BlueLinx Holdings; current Pritzker Private Capital operating partner;
- Holli Ladhani, former CEO of Select Energy Services and Rockwater Energy Solutions; current Quanta Services director;
- Michael McKelvy, CEO of McDermott International, engineering and construction solutions provider to the energy industry; former Gilbane Building Co. CEO and (pre-Jacobs) CH2M Hill Cos. executive;
- Jürg Oleas, Holcim director; former GEA Group AG chief executive, with ABB and Alstom Group leadership tours;
- Robert Rivkin, United Airlines Holdings chief legal officer; former U.S. Department of Transportation general counsel and City of Chicago deputy mayor;
- Katja Roth Pellanda, Zurich Insurance Co. group general counsel and director for its privately-held subsidiaries, Farmers Group and Zurich Italy Bank; and
- Cristina Wilbur, F. Hoffman-LaRoche chief people officer and head of group human resources.
